Sample Memorandum and Articles of Association

does anybody know where i can find a good example or format of the Memorandum of Association and Articles of Association which will be excepted by the Companies Registry?
The companies registry only provides guidelines for the format but not an example.

thanks for the link.
so is it just a matter of copying the relevant parts/articles from Table A and submitting it to the companies registry?

Filling in the blanks and so on (defining the number of shres, shareholders, etc etc), then yes I believe so, although I've never done it in HK myself.

The more common way if you don't need anything non-standard is, I think, to buy an off the shelf company.

Did you have any success setting up your company?

Hi,

My girlfriend is a journalist and trying to set up a company in order to freelance in HK. Did you have any luck setting up your company? Did you find a good example of a memeorandum and articles?

Would be great to get any advice you have on this matter.

If she just wants to freelance as a journalist why can't she simply be a "sole proprietor"? That's much simpler than going through all the company stuff.

Thanks for the reply. I hadn't heard about that term. The reason, however, that she needs to set up a business, is that she requires a visa to work in HK.

Although she currently has a working visa via the publishing company she is working for, if she quits and goes freelance then she will no longer have a visa.

I had been led to believe that the only way to freelance in HK is to set up your own company and apply for a visa that way.

If you have any advice on this, again, it would be much appreciated.

Ah, OK, but setting up a company doesn't automatically get you a visa (otherwise it would in effect be trivial for anyone to get a visa). If ImmD is going to approve a visa for her then I don't think being a sole proprietor or being the sole owner/employee of a limited company is going to make much difference. You'd need to talk to some freelance expat journos to find how best to go about this. The FCC would be a good place to find some to ask, although all the ones I know of there are Permanent Residents I think.

Years ago as a student, I wanted to save a few bucks and decided to incorporate a limited company here in Hong Kong by myself. I copied a sample Memorandum and Articles of Association, did all the research and filed the paperwork with the Companies Registry myself. I managed to save a couple of Gs but it was a major pain in the ass and took a long time.

I recently incorporated another company but used a company formation service this time round.

Total cost: Just under HKD 8,000 including the 1 year Business Registration fee.

Amount of time and headache saved: Priceless.

It's well worth it to pay that extra HKD 3 to 4,000 to get a specialist do it. They'll take care of all the paperwork, and provide you with all the little extras - company chops, seals, share certificates, documents to open business bank account etc. so you'll have time to actually run your business.
